The following terms and conditions, together with any referenced documents (collectively, "Terms of Use") are a legal agreement between you and your employees, agents, contractors and any other entity on whose behalf you accept these terms (collectively, “you” and “your”), and Aegisight AI, Inc. (“Aegisight AI,” “we,” “us” and “our”). The Terms of Use apply to Aegisight AI’s Website (as defined below).
IMPORTANT: THESE TERMS OF USE FORM A BINDING CONTRACT BETWEEN YOU AND US WHEN ACCEPTED BY YOU. YOU ACCEPT THESE TERMS OF USE BY (1) ACCESSING OR USING THE WEBSITE, (2) INDICATING ACCEPTANCE OF THESE TERMS WHEN THEY ARE PRESENTED ONLINE, OR (3) EXERCISING OR PURPORTING TO EXERCISE ANY OF THE RIGHTS GRANTED TO YOU UNDER THESE TERMS OF USE.
The term “Website” means Aegisight AI’s and its affiliates’ public websites, including without limitation those found at www.aegisight.ai and associated subdomains. The term “Website” does not include the Aegisight AI Products (as defined below) regardless of the domain name used to access such Products.
We may revise and update these Terms of Use from time to time in our sole discretion. You are expected to check this page from time to time to take notice of any changes we have made, as they are binding on you.
You agree that you are solely responsible to us for all activities identified with your account. You agree to immediately notify Aegisight AI of any unauthorized use of your username or password or any other breach of security. Aegisight AI has the absolute right to disable any username or password, at any time, for any reason, including, if in our sole discretion we believe that you have failed to comply with any provision of these Terms of Use.
The “Website” does not include Aegisight AI Products. “Aegisight AI Product” means the Aegisight predictive intelligence platform and any applications or subscription services, along with professional services, support, and maintenance offered for sale by Aegisight AI. You must purchase access to Aegisight AI Products pursuant to a separate subscription or other agreement (“Subscription Agreement”).
Users of the Website may be permitted to post, submit, contribute, publish, display, make available or transmit to others content or materials (“User Contributions”). You represent and warrant that you own or control all rights in and to the User Contributions that you post and have the right to grant Aegisight AI the license to use such material. Opinions expressed in User Contributions are those of the party posting them and do not necessarily reflect the opinion of Aegisight AI.
You agree not to access or use the Website in any manner:
The Website in its entirety including the Website Content and is owned by Aegisight AI or our licensors and is protected by United States and international laws regarding copyrights, patents, trademarks, trade secrets and other intellectual property or proprietary rights. You are permitted to use the Website only for legitimate business purposes.
As between Aegisight AI and you, all rights, title, and interest in and to all intellectual property rights in the Aegisight AI Core Technology are owned exclusively by Aegisight AI. "Aegisight AI Core Technology" includes our predictive models, algorithms, software tools, user interfaces, architectures, and any updates or derivative works thereof.
Aegisight AI, the Aegisight logo, and other Aegisight marks are trademarks of Aegisight AI, Inc. You must not use such marks without the prior written permission of Aegisight AI.
You agree that the configuration and information contained in the Aegisight AI platform will be considered “Aegisight AI Confidential Information”. You agree not to disclose, publish, or disseminate any Aegisight AI Confidential Information to anyone without prior written approval.
We will respond to notices of alleged copyright infringement that comply with applicable law. If you believe any materials accessible on or from the Website infringe your copyright, you may request removal by submitting written notification to our legal department at [email protected].
THE WEBSITE AND ANY SERVICES OR ITEMS OBTAINED THROUGH THE WEBSITE ARE PROVIDED TO YOU BY AEGISIGHT AI ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER AEGISIGHT AI NOR ANY PERSON ASSOCIATED WITH AEGISIGHT AI MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, SUITABILITY, ACCURACY OR AVAILABILITY OF THE WEBSITE.
AEGISIGHT AI HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT AND FITNESS FOR PARTICULAR PURPOSE.
EXCEPT TO THE EXTENT PROHIBITED BY LAW, IN NO EVENT WILL AEGISIGHT AI, ITS AFFILIATES AND ITS LICENSORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE WEBSITE, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, EVEN IF FORESEEABLE.
You agree to defend, indemnify and hold us, our affiliates and licensors harmless from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys' fees) resulting from your violation of these Terms of Use or your use of the Website.
These Terms of Use and any dispute or claim arising out of, or related to, them shall be governed by and construed in accordance with the internal laws of the State of California in the United States.
